Acceptance of Terms

By purchasing or using Forgeworxs services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

Where you have signed a separate written service agreement with Forgeworxs LLC, that agreement governs to the extent it conflicts with these terms.

Services

Forgeworxs LLC provides digital marketing services on a monthly subscription basis. The specific services, deliverables, and monthly quantities you are purchasing are those described at the point of purchase or in your written agreement.

Services continue month to month until cancelled. There is no minimum term and no lock-in period.

Fees and Billing

All fees are billed monthly in advance and processed through Stripe. You are responsible for all charges incurred under your account.

Advertising spend is never included in a management fee. Where we manage paid advertising, the ad spend is billed directly to your own advertising account, you set the budget, and you control it.

Third-party costs remain yours and are not included in your subscription. These include hosting, domain registration, premium plugins, stock imagery, and any rank-tracking or reporting tools. We will not incur a third-party cost on your behalf without your written approval first.

If a payment fails we will tell you. If it remains unpaid fifteen days past due, we may pause work until it is resolved. We will not delete anything or remove your access over a payment issue.

Cancellation

You may cancel at any time by contacting us. Cancellation takes effect at the end of your current billing period, and you will not be billed again after that. No refunds are issued for partial months.

We may cancel on the same basis. If we do, we will complete or hand over work already in progress.

Your Responsibilities

Delivery depends on a few things from you. If they do not happen, deliverables will slip, and we will tell you rather than quietly fall behind.

  • Access to the accounts and platforms the work requires
  • A single point of contact with authority to approve work
  • Reasonable responsiveness on questions about your business, services, and offers

Where a deliverable requires your approval, we send it to you for review. If we do not hear back within five business days, the item is treated as approved and we will publish it. This exists so that work does not stall, not to slip anything past you, and you may revoke that standing approval in writing at any time.

Ownership and Access

This section survives termination.

  • You own every account. Your website, domain, Google Business Profile, analytics and search console properties, advertising accounts, and any account created for you during the engagement remain registered in your name with you as the primary owner. Forgeworxs holds delegated access only.
  • You own all work product. Posts, page copy, reports, creative, and any other deliverable become your property on delivery.
  • On termination we hand everything over. Within ten business days we will transfer or return credentials and files, remove Forgeworxs accounts from your properties, and deliver a final report covering the engagement.
  • We will not hold any asset, credential, or account as leverage in any circumstance, including a payment dispute.

How Performance Is Measured

Local search position varies with the physical location of the person searching. A single search result is one sample and is not a meaningful measure on its own.

Where we report local rank, we do so using a fixed grid of sample points across your service area, held constant month over month, reported as an average position and the share of grid points placing you in the local three-pack. The same grid and keyword set are used each month so that comparison between months is genuine.

No Guarantee of Results

We do not guarantee any specific ranking, traffic volume, lead count, or revenue outcome, and we will never claim to. Results depend on market competition, search algorithms, seasonality, and the searcher's location — all outside our control.

What we commit to is the work described at purchase, delivered on the stated cadence, measured by the method above, and reported accurately including when results are poor.

Portfolio

We may reference your business as a client and show work produced for you in our portfolio and marketing. You can withdraw this permission at any time in writing and we will remove the material.

Confidentiality

Each party will keep the other's non-public business information confidential and use it only to perform the services. This survives termination.

Limitation of Liability

Neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages. Forgeworxs LLC's total aggregate liability will not exceed the total fees you paid in the three months preceding the claim.

Independent Contractor

Forgeworxs LLC is an independent contractor, not an employee, partner, agent, or joint venturer. Neither party may bind the other.

Changes to These Terms

We may update these terms. Each version carries a version identifier and an effective date, and prior versions are retained. Material changes will be communicated to active clients before they take effect. Continuing to use the services after a change takes effect constitutes acceptance of the updated terms.

Governing Law

These terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules.

If a dispute arises, the parties will first attempt to resolve it in good faith by direct discussion for thirty days. If unresolved, it will be settled by binding arbitration seated in Denver County, Colorado under the rules of the American Arbitration Association. Hearings may be conducted remotely by videoconference, and neither party is required to travel. Each party bears its own costs.

Either party may instead bring an individual claim in a small claims court of competent jurisdiction, so long as the claim qualifies for and remains in that court.
